General Terms and Conditions
Legal information for the B2B online shop www.microtronik.de. If translations differ, the German version prevails unless mandatory law provides otherwise.
1 Seller and scope

These Terms apply to sales through www.microtronik.de exclusively to entrepreneurs and business customers. By ordering, the customer confirms a business purchase. Individual written agreements prevail.
2 Products
Characteristics, condition, price and scope of supply follow the product page, quotation or order confirmation. The customer checks compatibility. A written seller confirmation based on accurate customer data becomes part of the contract.
3 Contract formation
Product listings are non-binding. By submitting an order, the customer initially sends an order request; this does not yet form a sales contract. The automatic acknowledgement only confirms receipt of the request and is not acceptance. The sales contract is formed only when the seller expressly confirms the order after review and moves it to processing status. The customer receives a separate notification. If the seller proposes changes first, the customer must confirm them before the seller accepts the order. Issuing an invoice or dispatching goods does not independently constitute acceptance.
4 Prices and taxes
Prices are in EUR and, unless stated otherwise, exclude VAT. VAT, delivery and additional costs are shown separately. Zero-rated intra-Community supplies require all legal evidence. The customer bears import charges outside the EU unless agreed otherwise.
5 Payment
Payment is by transfer to MD AUTO SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ. IBAN: PL33 1020 1055 0000 9202 0729 9300. BIC/SWIFT: BPKOPLPW.
The invoice is due without deduction within 15 calendar days after receipt of both goods and invoice. If received on different dates, the later date starts the period. Written special terms prevail. Statutory interest and recoverable costs may apply to late payment, and further deliveries may be suspended.
6 Delivery
Delivery is available to offered European countries, primarily through DHL, DPD or FedEx. Carrier, cost and estimated time are shown in checkout, quotation or confirmation. Dates are binding only when expressly confirmed in writing. The customer bears avoidable extra costs caused by incorrect details or refusal to accept.
7 Transfer of risk
Delivery is DAP (Delivered at Place, Incoterms® 2020) to the agreed shipping address. Risk passes to the customer when the goods are placed at the customer’s disposal at the named destination on the arriving means of transport, ready for unloading. The seller bears the transport risk until then. Individual written agreements to the contrary prevail.
8 Inspection and notice
The customer promptly inspects the delivery. Where German commercial law applies, section 377 HGB applies. A notice should identify the order, product, serial number, defect and available evidence.
9 Defects
The individual agreement, these Terms, the Warranty and Complaints page and applicable law govern defect rights. The seller first receives a reasonable opportunity to inspect and remedy. Further rights require the applicable legal conditions.
10 Returns
No consumer cancellation right applies. Non-defective goods may be returned only with prior written approval. Conditions and costs are agreed individually. Goods must be complete and securely packed.
11 Professional installation
Products requiring professional installation must be fitted by qualified personnel. Part numbers, connections, dimensions, software and specifications must be checked before installation. Visibly damaged or incompatible goods must not be installed.
12 Liability
Liability is unlimited for intent, fraudulent concealment, death or personal injury, express guarantees, mandatory product liability and other mandatory cases. For negligent breach of an essential obligation, liability may be limited to typical foreseeable loss where lawful. Mandatory law remains unaffected.
13 Retention of title
Goods remain the seller’s property until full payment. The customer must promptly report third-party enforcement. Mandatory law where the goods are located remains applicable.
14 Force majeure
The seller is not liable for impediments beyond reasonable control, including natural events, war, strikes, government action, sanctions, customs or transport disruption and major supply-chain failures. Statutory termination rights apply if an impediment lasts unreasonably long.
15 Privacy
Personal data is processed under the GDPR and the published Privacy Policy.
16 Governing law and jurisdiction
The law of the Republic of Poland applies. The UN Convention on Contracts for the International Sale of Goods is excluded. Where lawful, courts at the seller’s registered office have exclusive jurisdiction.
17 Language and final terms
If language versions differ, the German version prevails unless mandatory law provides otherwise. Amendments do not apply retroactively. If a term is invalid, the remaining terms continue and statutory law replaces the invalid term.
